Terms of Sale
Effective Date: May 1, 2026
By placing and confirming any order and/or purchase for any goods, products, and/or services on the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Sale. Your acceptance of these Terms of Sale constitutes a legally binding agreement between ASTARNAVIS LIMITED and its subsidiaries and affiliates (individually and collectively, “UUTOP”, “we”, “us”, or “our”) and you as the buyer (“Buyer”, “you”, or “your”) in respect of the sale and purchase of any goods, products, and/or services on the Platform.
For Singapore residents, you also agree that disputes with UUTOP must be resolved on an individual basis through final and binding arbitration as described in detail in Section 8 (Dispute Resolution), where applicable.
1. Introduction
1.1 The sale and purchase of any goods, products, and/or services (“Item”) on the Platform are governed by these Terms of Sale.
1.2 We do not intend to sell any Item to children or minors below the Legal Age. If you are below the Legal Age, you must obtain permission from a parent or legal guardian to purchase Items from us, and that parent or legal guardian must agree to these Terms of Sale on your behalf.
1.3 We may modify these Terms of Sale at any time, without prior notice, by posting the revised Terms of Sale on the Platform. Your continued purchase of any Item after such revision shall constitute your acceptance of the updated Terms of Sale.
1.4 For the avoidance of doubt, these Terms of Sale are in addition to, and not in substitution for, the Terms of Use of the Platform.
1.5 In the event of any inconsistency between these Terms of Sale and the Terms of Use:
- if the issue relates to access to or use of the Platform, the Terms of Use shall prevail; and
- if the issue relates to the sale and purchase of any Item, these Terms of Sale shall prevail.
2. Definitions and Interpretation
2.1 In these Terms of Sale, unless the context otherwise requires:
Account means your account duly registered with UUTOP to facilitate your use of the Services available on the Platform.
Buyer means a person who purchases an Item on the Platform.
Contract means the contract formed when UUTOP accepts an order placed by a Buyer on the Platform through the issuance of an order confirmation.
Item means any goods, product, or service made available for sale on the Platform.
Legal Age means the legal age capable of giving consent under the applicable laws of your jurisdiction.
Platform means collectively the website presently known as UUTOP.com, the UUTOP Android App, the UUTOP iOS App, and any other web and/or mobile platform administered and managed by UUTOP.
Services means any service or function provided by UUTOP to the Buyer in connection with the sale and purchase of an Item in accordance with these Terms of Sale.
UUTOP Credits means electronic credit value that may be purchased by the Buyer from UUTOP for the purchase of Items on the Platform.
Terms of Sale means these Terms of Sale and all additional terms, conditions, and policies referenced herein, linked hereto, or imposed by UUTOP from time to time, including any amendments, updates, or addenda.
2.2 Any technical term not specifically defined in these Terms of Sale shall be construed in accordance with the general practice of the relevant industry or profession in Malaysia.
2.3 For the purpose of calculating any period of time stipulated herein, the relevant period shall begin from the date specified, unless otherwise stated.
3. Basis of the Contract
3.1 The information and details contained on the Platform do not constitute an offer for sale, but rather an invitation to treat. No Contract in respect of any Item shall be formed until the Buyer receives an order confirmation issued by UUTOP confirming the purchase of the Item.
3.2 Any typographical, clerical, or other error or omission in any quotation, invoice, or other document or information issued by UUTOP on the Platform shall be subject to correction without any liability on the part of UUTOP.
4. Registration of UUTOP Account
4.1 In order to place an order for the purchase of an Item, the Buyer may be required to register and maintain an Account with UUTOP.
4.2 The registration, use, suspension, and termination of an Account shall be subject to and governed by the Terms of Use.
5. Orders and Specifications
5.1 The Buyer may make an offer to purchase an Item by completing the order form on the Platform and shall be responsible for ensuring that all order details are accurate. All orders are subject to UUTOP’s acceptance in its sole discretion, and each accepted order shall constitute a separate Contract.
5.2 Acceptance of an order and formation of the Contract between the Buyer and UUTOP shall occur only when UUTOP issues an order confirmation.
5.3 No Cancellation. No order may be cancelled and no Contract may be terminated by the Buyer except with UUTOP’s prior written consent and on such terms as UUTOP may determine. The Buyer shall indemnify UUTOP in full against all losses, including loss of profit, costs, damages, charges, and expenses incurred by UUTOP as a result of such cancellation or termination.
5.4 Subject to Clause 5.3, the Buyer may request UUTOP’s consent to cancel an order or terminate a Contract before UUTOP dispatches or delivers the Item by contacting customer support.
5.5 Refusal of Order.
- UUTOP reserves the right to withdraw any Item from the Platform at any time and/or remove or edit any materials or content on the Platform at its sole discretion.
- The Buyer acknowledges that while UUTOP will use reasonable efforts to process all orders, there may be exceptional circumstances in which UUTOP must refuse to process an order even after an order confirmation has been sent.
- In such an event, UUTOP shall not be liable to the Buyer for such refusal.
- If full payment has already been made and the refusal is not due to the Buyer’s fault, UUTOP will refund the payment made for the affected order.
6. Price
6.1 The price of an Item shall be the price listed on the Platform at the time the Buyer places and completes the order form.
6.2 The price may include applicable sales tax, service tax, value-added tax, and/or other similar taxes imposed by relevant authorities, but may exclude delivery fees or service charges where applicable.
6.3 Prices may be quoted in different currencies depending on the jurisdiction in which the Buyer is located or from which the Buyer accesses the Platform.
6.4 In the event that an Item is listed at an incorrect price, UUTOP reserves the right to cancel the order or terminate the Contract. UUTOP may notify the Buyer of such cancellation or termination by phone, email, or through the communication channel available in the Account.
6.5 UUTOP’s right to cancel an order or terminate a Contract due to pricing errors shall apply even if the Item has been dispatched, is in transit, or payment has already been charged.
7. Payment Terms
7.1 The full purchase price of an Item must be paid at checkout. The Buyer may make payment using the payment methods made available on the Platform.
7.2 The Buyer may pay for the Item in any currency supported on the Platform, in accordance with the prevailing exchange rate determined by UUTOP at its sole discretion.
7.3 UUTOP shall not be responsible for any loss or damage arising from incorrect payment information, card details, or remittance information entered by the Buyer.
7.4 UUTOP reserves the right to verify whether the Buyer is duly authorized to use a particular payment method and may suspend or cancel the relevant transaction if such authorization cannot be confirmed.
7.5 Any refund approved by UUTOP, whether in whole or in part, may take up to thirty (30) days to process, subject to the original payment method and the accuracy of the Buyer’s refund details.
8. UUTOP Credits / Dispute Resolution for Singapore Residents
8.1 UUTOP Credits
8.1.1 A Buyer may purchase UUTOP Credits from UUTOP, and such credits will be credited into the Buyer’s Account.
8.1.2 UUTOP Credits shall be valid for twenty-four (24) months from the date they are credited into the Account, or for such other period as UUTOP may determine.
8.1.3 Expired UUTOP Credits shall no longer be usable, and no refund shall be provided for expired credits unless otherwise determined by UUTOP in its sole discretion.
8.1.4 UUTOP reserves the right to determine the maximum amount of UUTOP Credits that may be held in an Account, subject to applicable regulatory requirements.
8.1.5 Any dispute regarding Account balance or credit amounts must be raised in writing within seven (7) days from the relevant transaction date. UUTOP may, but is not obliged to, investigate such dispute, and its decision shall be final and conclusive.
8.1.6 UUTOP reserves the right to amend any terms applicable to UUTOP Credits or impose additional terms from time to time.
8.2 Dispute Resolution for Singapore Residents
If you are a resident of Singapore, you agree that any dispute, claim, or controversy arising out of or relating to these Terms of Sale, your purchase of Items, or your use of the Platform shall be resolved on an individual basis through final and binding arbitration, except where prohibited by law. Class actions, consolidated actions, and representative actions are not permitted. This clause applies only to the extent permitted by applicable law.
9. Warranties
9.1 UUTOP makes reasonable efforts to ensure that the descriptions and information relating to Items on the Platform are accurate and complete. However, all such information is provided on an “as is” and “as available” basis for informational purposes only.
9.2 UUTOP does not represent, warrant, or guarantee that any Item description is accurate, complete, reliable, current, or error-free. Images and depictions of Items are for reference only and may not fully reflect the actual Item.
9.3 Except as expressly provided in these Terms of Sale, all warranties, conditions, guarantees, and terms implied by statute, common law, or otherwise are excluded to the fullest extent permitted by law.
9.4 Where a manufacturer’s or supplier’s warranty applies to an Item, UUTOP will use commercially reasonable efforts to assist in facilitating such warranty in accordance with its terms, where applicable.
10. Limited Liability and Indemnity
10.1 To the fullest extent permitted by law, UUTOP shall not be liable for any loss of profit, loss of goodwill, loss of data, loss of production, loss of revenue, or any indirect, incidental, special, or consequential loss or damage whatsoever, including any loss or damage suffered as a result of claims brought by third parties.
10.2 The Buyer shall indemnify and hold harmless UUTOP from and against any claims, demands, proceedings, losses, damages, costs, expenses, and liabilities, including reasonable legal fees, arising out of or in connection with:
- the Buyer’s breach of these Terms of Sale;
- any wrongful act or omission by the Buyer or its representatives;
- infringement of intellectual property rights; or
- breach of applicable data protection or other laws.
10.3 Notwithstanding any other provision of these Terms of Sale, UUTOP’s maximum cumulative liability arising out of or relating to the sale of any Item under a Contract shall not exceed the total amount actually paid by the Buyer to UUTOP under that Contract.
11. Force Majeure
11.1 UUTOP shall not be liable for any delay, failure, or inability to perform its obligations under a Contract if such delay or failure is caused by circumstances beyond its reasonable control, including but not limited to acts of God, riots, strikes, war, fire, power outages, epidemics, pandemics, telecommunications failures, network congestion, system failures, governmental action, or changes in law or regulation.
11.2 If a Force Majeure event continues for such duration or severity that UUTOP is unable to perform its obligations, UUTOP may, at its sole discretion, implement alternative arrangements or cancel and terminate the affected Contract by written notice, with liability limited to a refund for any undelivered Item already paid for by the Buyer.
12. Notices
12.1 All notices, demands, requests, or other communications under these Terms of Sale shall be in writing and may be given by hand, registered post, electronic mail, or through the communication channels made available on the Platform.
12.2 Notice shall be deemed given:
- in the case of hand delivery, upon written acknowledgment of receipt;
- in the case of registered post, five (5) business days after posting; and
- in the case of email or in-platform communication, on the day of transmission provided that no delivery failure or undeliverable notice is received.
12.3 In addition, any notice or communication from UUTOP to the Buyer may also be deemed duly served by:
- posting the notice on the Platform;
- publishing the notice through media; or
- any other method of notification that UUTOP may determine in its sole discretion.
13. General Provisions
13.1 No waiver by UUTOP of any breach by the Buyer shall be deemed a waiver of any subsequent breach. Failure by UUTOP to enforce any provision of these Terms of Sale shall not constitute a waiver of that provision.
13.2 If any provision of these Terms of Sale is held invalid, unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
13.3 No person who is not a party to the Contract shall have any right to enforce any term of the Contract.
13.4 These Terms of Sale shall be governed by and construed in accordance with the laws of Malaysia, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms of Sale shall be submitted to the jurisdiction of the courts of Malaysia, unless UUTOP elects another dispute resolution method as permitted by law.
13.5 UUTOP may transfer or assign any of its rights or obligations under these Terms of Sale to any present or future affiliate, or pursuant to a merger, acquisition, reorganization, or sale of assets, without notice to the Buyer.
13.6 These Terms of Sale, together with any additional policies, notices, and terms referred to herein, constitute the entire agreement between you and UUTOP in respect of the sale and purchase of Items on the Platform.
13.7 UUTOP reserves all rights not expressly granted herein.
13.8 These Terms of Sale may be translated into languages other than English. In the event of any inconsistency between the English version and any translated version, the English version shall prevail.
Refund and Return Policy
All Items purchased on the Platform are generally non-refundable and non-exchangeable.
However, refund or exchange requests in exceptional cases may be considered at the sole discretion of UUTOP.
Any request for refund or exchange must be submitted in writing within seven (7) days from the date the Buyer receives the purchased Item. Failure to do so may result in forfeiture of the Buyer’s right to request a refund or exchange.
Disclaimers
1. Card Products
Card products do not include manuals, installation CDs, boxes, physical cards, or any other physical elements unless expressly stated.- The Buyer will be able to view the purchased code(s) on the order page after a successful purchase.
- Refunds for pre-order Items may be granted only at the sole discretion of UUTOP.
- A successful purchase of any Item indicates that all information submitted by the Buyer is accurate and complete.
- Unless otherwise agreed in writing by UUTOP, pre-order Items are non-refundable, non-transferable, and non-exchangeable once sold.
- UUTOP reserves the right to amend these terms at any time without prior notice.
2. Direct Top Up
- Please read the product description carefully and confirm that the game name, server, account name, user ID, and purchased amount are correct before placing an order.
- UUTOP assumes no liability for incorrect purchases made due to the Buyer’s negligence or the submission of false, inaccurate, or incomplete information.
- By purchasing any Direct Top Up Item on the Platform, the Buyer acknowledges and accepts this limitation of liability.
